Bottling second-hand plants or individual machines offered for sale

• All second-hand plants or individual machines offered for sale by us will be produced by Companies which are currently in business, also, and above all, for the availability of "Spare parts";
• In the event that the machinery currently available in our range does not correspond to the customer's needs, our organisation will commit itself to searching the market for the most suitable machinery for the client's requirements;
• Barring some exceptions, the machinery is sold "IN THE STATE OF USE IN WHICH IT IS FOUND AND NOT GUARANTEED" but functioning as normal and supplied with the relevant user and maintenance handbooks in the customer's language;
• Disassembly, loading, reassembly, start-up and training of operating staff will be carried out by us and by specialised technicians working within our organisation. In some cases the technical training of the customer's workers can be done on site, before the machinery itself is disassembled.
• No generic operation will be carried out before delivery of the machinery, due to the elevated operating condition of the same, and in absence of a prior and motivated understanding with the purchaser.
• If, after the operating tests, it is deemed necessary to replace a number of parts of the machinery, for example because of a particular production request, our organisation shall also commit itself to providing spare parts or manufacturing moulds for each machine of the sector and installing them;
• On the other hand, pieces replaced or modified will be covered by the same guarantee which is recognised by producers of the spare parts directly;
• Any potential intervention involving change or improvement will be carried out by our technicians at the premises of the purchasing customer and under his direct control;
• The "Assistance and Rapid Intervention" service, if not prevented by force majeure, is guaranteed within five working days from the call-out, taking into account the availability of the spare parts required and the time required to obtain any visas or problems connected with the transport and travel of the technician/s;
• On the other hand, the "Ordinary and Extraordinary Periodic Maintenance" and any supply of "Spare Parts", if requested by the customer, will be programmed in agreement with the customer. This also applies to machinery not sold by our company but in use at our customers' premises.
• Any "General Servicing", always requested by the customer, will be carried out in our workshops and the machinery will be guaranteed for the duration of six months, except for normal wear and tear.

CLARIFICATIONS AND SALES CONDITIONS

PRICE FORMULATION:
the prices will be minutely detailed starting from the net quotation of the machinery or plant, to the prices for each single component of the offer: disassembly, cable labelling, loading and reassembly, leaving the customer the choice to assign the aforementioned services to us or to do them themselves, if they avail of the necessary technical abilities internally.

AGREED INTERVENTIONS TO MAKE IMPROVEMENTS OR MODIFICATIONS: will be estimated separately on the basis of the needs of the customer both for "General Servicing", which will be the object of a contractual appendix, and for NEW MOULDS USEABLE ON ANY MACHINERY WHETHER NEW OR SECOND-HAND.

TRANSPORT: all items will travel at the risk and danger of the customer whether they are transported by us, or directly by the customer. In any case an insurance will be stipulated, the cost of which will be an integral part of the transport contract itself.

GUARANTEES: the guarantees shall cover only the technical interventions and any spare parts provided by our company and performed by our technicians. The terms will be valid with effect from the date of the positive start-up of the machinery or plant and in any cases by a maximum of 90 days from delivery. Guarantees do not include all parts of wear and tear and anything which is not clearly mentioned. For interventions covered by the guarantee the travel and living expenses at the place of work, for the technicians, are payable by the customer.

ASSISTANCE AND EXTRAORDINARY MAINTENANCE: these will be quoted separately, as are the technical inspections to determine the work to be carried out. In this case also, expenses relating to travel, board and lodging will be payable by the customer.

PAYMENT: all payments will be made exclusively by confirmed, by our bank, irrevocable letter of credit, payable at sight upon submission of shipping documents, or other equivalent medium.

COMPETENT COURT: be it Arbitrary or Judicial, the competent court shall be that of Alessandria, Italy, or, at the discretion of the customer, any other court in Italy.
